Who we are
FloatWeb is a trading name of Spencer Bullock and Mantas Statkevicius, who run it as a partnership. It is not a limited company. Postal address available on request. Email [email protected].
How these terms work
- Before any work starts, we send you a written agreement with a fixed price and a Schedule listing everything we will deliver. Both of us sign it.
- This page sums up the clauses in that agreement in plain English. If your signed agreement says something different, the signed agreement applies.
- Anything not listed in the Schedule is outside the agreement. If you want it, we quote for it and agree it with you in writing before we start.
- If you are buying as a consumer rather than for a business, you also have rights under consumer law. Nothing on this page takes those away.
Payment
- Under $8,000: half to book, half before launch. Over $8,000: 40% to book, 30% when you sign off the design, 30% before launch.
- Web apps and platforms can use a different split, tied to a working prototype. It is set out in the agreement before you sign.
- We start work when the deposit has been paid. The deposit is not refundable once work has started.
- Care plans and other monthly services are invoiced monthly in advance.
- Invoices are due within 14 days. If one is more than 14 days late, we may pause work until it is paid. For business clients we may also charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- Work outside the Schedule is charged at $800 a day or $120 an hour, and we always agree it with you in writing first.
- We are not registered for VAT, so no VAT is added to our prices.
Timing
- The agreement gives a start date and how long we expect the work to take.
- The dates depend on you sending content, feedback and approvals when we ask. If something is waiting on you for more than 5 working days, the dates move back by at least the same amount, and we confirm the new dates in writing.
- If we are going to miss a date for a reason on our side, we tell you as soon as we know, with a new date.
Changes and revisions
- The price includes two rounds of changes to the designs and one round of changes to the finished site before launch. A round is one list of changes sent to us together.
- Further rounds cost $400 each.
- New features or new sections are not revisions. If you ask for them, we quote first and only go ahead once you agree.
What we need from you
- Text, photos, logos, logins and anything else we need, sent when we ask for it.
- Feedback and approvals within 5 working days, from one person who can make decisions for you.
- Confirmation that you own, or have permission to use, everything you send us.
- Making sure your business, and the way you use what we deliver, follows the laws that apply to you, including your own privacy notice and cookie consent.
Who owns the work
- Once you have paid everything due under the agreement, you own what we made for you: the design, the content we wrote and the code written for your project.
- Within 5 working days of full payment we hand over everything you need to run the site yourself or with another developer: administrator access, a copy of the code, the domain details and the information needed to move the hosting.
- Until then, we own it and you may use it to review the work.
- Open source code, fonts, stock images, plugins and third-party services stay under their own licences. We tell you about any that cost money before we use them.
- Our own general tools and know-how, which we use for every client, stay ours. You get a permanent licence to use them as part of your site, and so does any developer who looks after it for you.
- We may show the finished work in our portfolio unless you ask us not to in writing.
Your domain and accounts
- Your domain name, email, analytics, Google Search Console, payment and similar accounts are held in your name and paid for by you, by the companies that provide them.
- If we set any of them up for you, we transfer them to you, or make you the owner, within 5 working days of full payment.
- Those companies work under their own terms. We are not responsible for their outages, price changes or decisions.
Hosting, care plans and backups
- If you take a care plan, we host and look after the site as the plan describes: hosting, uptime monitoring, daily backups and security updates, plus any hours of changes the plan includes. Hours not used in a month do not carry over.
- If you do not take a care plan, or the site is hosted by you or someone else, hosting and backups are your responsibility after launch. We help you set it up.
After launch
- For 30 days after launch, we fix free of charge anything that does not work as agreed.
- This does not cover changes made by anyone other than us, problems caused by third-party services, hosting we do not manage, or new requests. Those are charged at our usual rates or covered by a care plan.
Leaving, and ending the agreement
- You can end a project at any time by writing to us. You pay for the work done up to that point, and the deposit is not refunded.
- If we hear nothing from you for 60 days, we may close the project and invoice for the work done so far.
- Either of us can end the agreement straight away, in writing, if the other seriously breaks it and does not put it right within 14 days of being asked to.
- Care plans have a minimum term of one month, and SEO and Google Ads management three months. After that, either of us can end them with 30 days' notice in writing. Email is fine.
- When an agreement ends, we hand over everything you have paid for, including a full copy of the site's code. If we host the site, we keep it online for 30 more days at no charge so you can move it.
Liability
- Nothing in these terms or in our agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
- Apart from that, our total liability to you is limited to the fees you have paid us under the agreement. For care plans and other monthly services, it is limited to the fees you paid in the 12 months before the claim.
- Neither of us is liable to the other for lost profit, revenue, data or business, or for indirect losses.
- We build sites to be secure and keep backups where we host them, but no website can be guaranteed against every attack or outage.
- We do not promise any particular search ranking, amount of traffic or number of sales. Search engines and your customers decide those.
Confidentiality and data
- We both keep the other's confidential information private and only use it for the project.
- You decide what personal data your site collects and why, so you are the controller of it. Where we handle that data for you, for example form entries on a site we host, we act as your processor under a written data processing clause in the agreement.
- How we handle your own details as our client is set out in our privacy policy.
Complaints
If something has gone wrong, email [email protected] and one of the two partners will reply within one working day and put it right where we can.
Changes to these terms
We may update this page, with a new effective date at the top. A change here never changes an agreement you have already signed.
The law that applies
These terms and our agreements are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. If you are a consumer living in Scotland or Northern Ireland, you can also bring a claim in your local courts.
